About Hourly Rate Contracts

Our office uses a hourly rate charge, whereby attorney’s fees are calculated based on the number of hours the attorney spends working on the project. The following is a rough estimate of the number of hours we charge for contract drafting, revision, and review.

Contract Drafting

Type Small Average Large
General Contracts such as Outsourcing Agreements 45 minutes 1 hour 30 minutes 5 hours
Typical Contracts such as NDA 15 minutes 30 minutes 1 hour
M&A and Investment Related 6 hours 12 hours 30 hours
Terms and Conditions 2 hours 4 hours 6 hours

Contract Drafting

Type Small Average Large
General Contracts such as Outsourcing Agreements 20 minutes 45 minutes 2 hours
Typical Contracts such as NDA 12 minutes 20 minutes 40 minutes
M&A and Investment Related 2 hours 4 hours 10 hours
Terms and Conditions 1 hours 2 hours 3 hours

In some cases, especially with new clients, it may take more time than mentioned above to conduct meetings, answer inquiries regarding deliverables, etc. Conversely, an understanding of the client company’s basic business model, among other things, is inevitably necessary for the preparation of contracts, etc. An advisory contract is intended to build a relationship in which “we always understand the client company’s business model, so we do not need to spend much time on meetings, etc.”.

Sharing Methods of Operating Time

Hourly Rate Contracts are, in a sense, easy to understand because they are based on the “time the attorney works”, but on the other hand, it is difficult to know in advance how much time the attorney will work in order to perform a certain task, and therefore it is difficult to see the total amount of attorney fees at the stage before the client makes a request.

As described on this page, our firm is committed to clearly indicating in advance the approximate amount of time we will be working on each contract. In addition, we use a variety of services to communicate with our clients, including Chatwork, Slack, Teams, Facebook Messenger, LINE, and e-mail. We share the actual operating hours with our clients through a time charge management chart on Google Spreadsheet.
